Police Report: None
Guest: Two visitors, Arian Pregenzer & Evert Voss
Arian is interested in preserving part of the “Open Space” area North of Arroyo de Vista and South of Spain. She reported that a cities “Open Space” worker cut down several very old elms on S. side of the arroyo on June 21, 20010, apparently at the request of a person on Arroyo de Vista who claimed to have gotten the consent of the neighbors and the GHNA (according to the Open Space worker). She said that none of the neighbors she spoke with had been consulted; nor had the GHNA. She stated that the dead trees were left in place-making an unsightly mess. She said that the Open Space crew returned on June 23 with 2 trucks and drove over open ground. They spent about 10 minutes cutting up one of the larger trees into smaller pieces. She said that the trucks damaged the remaining vegetation and the tracks will be there for years.
Arian said that after many phone calls to protest the decision-making-process, Open Space officials told her that there had been a miscommunication, and apologized profoundly. They also told her about the Open Space Adoption program. Arian described this program. To adopt an open space, an individual or a group signs a contract with Open Space Division. The contract commits the adopter (referred to as “the donor) to organizing a group project each year (in coordination with Open Space). Arian asked if the GHNA would support the adoption of this area. She said that she would volunteer to be the “Point of Contact” with Open Space. Arian said that she will meet an Open Space representative on July 20th to walk the area and discuss possible projects. Next, there is a volunteer training program on August 7 at the Elena Gallegos picnic area that all “adopters” must attend. She had a copy of the “ADOPT-AN-OPEN SPACE GIFT AND FREE WORK AGREEMENT”.
The board thought this would be a worthy project for GHNA. Jack moved that the GHNA become the “Donor” of this project, pending a review of the agreement by the President, Secretary, and Jack . The motion was seconded and passed unanimously.
President’s Report:
Minutes of the June 1, 2010 Board Meeting were approved by the board.
Woody Owens made a report prepared by President Roger Cook:
Roger reported that directors & officers (D&O) liability insurance cost ranged from $752 to $990 per year. This would only cover actions taken by the GHNA Board. Liability cover for actions by a “Patrol Co” ranged from $4000 to $5000 per year.
Nick moved that we cancel the private patrol agreement. The motion was 2nd by Jack and was passed unanimously. Nick moved and Jack 2nd a motion that we have a representative from a D&O Insurance Co. come to a board meeting and explain our coverage under this insurance. The motion passed.
After the votes on liability insurance, Dave Bentley submitted his resignation from the GHNA Board. The board gave him thanks for his many years of service as an officer & director. Jack moved that Nick be appointed temporary treasure until after the election of officer at our annual meeting. The motion was 2nd and passed.
Treasury Report: Dave reported that the June Treasurers Report was posted on the web site. He said that membership was down slightly.
District 8 Coalition Report: None
Hospitality/welcome Report: Carol reported that Greg Lobberegt was no longer providing names and addresses of new residences.
Environmental/Landscaping Report: Nick Manole again reported on weed control.
Neighborhood Patrol: No report

Garden Club Activities: Carol Rising reported on the August Lavender tour
Old Business:
Annual Meeting: The annual meeting will be held at the substation on August 29th starting at 3pm. The board discussed how we will notify the annual meeting to residences. It was decided that we well place “posters” at all entrances the Glenwood Hills, send email notices, and send a letter to those that do not have emails. These meeting notices need to be made/delivered at least 10 days before the meeting. We also discussed participating with the YMCA on the mailing. Roger A will check with the YMCA about this. We also decided that light refreshments will be provided. A motion was made by Jack to authorize up to $900 for the cost of refreshments, mailing, and other expenses of the annual meeting. The motion was 2nd and passed.
Next Meeting: The next board meeting will be held September 7, 2010 at the police substation at 6:30pm.

Minutes of the June 2, 2009 board meeting were approved by the board.
Lt. Scott Lopez, APD, made a crime report. He said that our neighborhood has minor crime problems as compared to the rest of the city. He reported that Agripina Neubauer is a Crime Prevention Specialist working at the Foothills Substation helps with the CrimeReport.com Web Site. Lt. Lopez phone # is 553-2237 and his email address is scottlopez@cabg.gov.
President’s Report: Woody reported that Trudy Jones requested a traffic study regarding the 3 way stop sign at Montgomery & Larchmont. The study was to determine if the stop signs on Montgomery should be removed. The Board does not support the removal of the stop signs. At her Tuesday meeting at the Dwyer Substation Trudy was asked to support a small plant medium on Manitoba near the entrance to Glenwood Hills. We told her that this medium would not require electric power or water (the association would water the plants until the plants got established). This will save considerably amount of money.
Treasury Report: Dave Bentley reported that the bank stopped an attempted fraud on our checking account. We had to cancel the account and open a new account. Therefore the June treasury report does not reflect expenditures for the patrol. Roger Abbott reported that this report was published on the web site.
District 8 Coalition: No report
Hospitality Report: Carole reported that four welcome packages were given out.
Environment / Landscaping Report: No report
Neighborhood Patrol Report: Marc LaChey reported on crime/patrols.
Block Captains: Several names for block captains were given To Bert Guerrero. We will also have a Block Captain sign at the annual picnic promoting the program.
Web site Report: Roger Abbott reported that we sent out postcards to over 450 residences who are not members of the GHNA asking them to sign up for Group Emails. Less than 20 signed up. This is an indication that some of our residences’ are not interested in Glenwood Hills functions or activities. He also reported on the advertizing efforts.
Garden Club Report: Carole that we had a successful garden tour is on June 27th.

Minutes of the June 03, 2008 general meeting were approved by motion and unanimous vote.
Foothills Patrol Police Report – Sgt. Roger Banez
APD has installed a new IT system as of May 9. This allows for crime statistics for our neighborhood to be generated pretty easily. The vast majority of incidences were from 4200 Spanish Bit (apartment complex) for disturbances. There were also a couple of auto burglaries (break-in’s, not theft) in our neighborhood. They view these mostly as opportunity crimes.

Old Business:
Shadow Hills rep: Bill Tucker attended our meeting for the first time. He is the president of the Shadow Hills NA. He expressed appreciation for us inviting him to our meetings and also said that a representative from GHNA to their meetings would be welcomed.
Tramway
This item will be dropped from future agendas. We have concluded the research (see June minutes) and there is nothing we can do with the land.
By-laws questions: Roger Cook
Several questions/issues were discussed:
Does a person have to pay their annual dues to be a board member?
· Article IV discusses membership in GHNA and says is it open to all who reside here (implying you need to join as a member if you want to be considered a member).
· Article III, Section 4 discusses filling a vacancy on the Executive Committee and says they can be filled from the general membership (again implying you need to be a member).
· Article VI (Election, Section 1 says election to the Executive Committee will be limited to one member per household – again implying you need to be a member)
The board agreed that indeed, you must be a member of the GHNAS to be a board member.
Are the Glenwood Lofts part of the GHNA as stated in the by-laws? NO
Article IV, section 1 states: For the purpose of these by-laws, the Glenwood Hills Neighborhood shall consist of units 1, 2, 3, 4, and 6 of the Glenwood Hills Subdivision, the Glenwood Hills North Subdivision and the Tierra Amada Townhouses.
From looking at many maps, Roger concluded that the Glenwood Lofts are not part of the above definition. However, there are some people there paying dues currently.
The board agreed with the position that the Glenwood Lofts are not included within GHNA as the by-laws are currently written. However, they also agreed that the Glenwood Lofts should and all other adjacent residential properties should be eligible for membership.
A motion was made and passed to submit a by-laws change at the annual meeting to add the words ‘residences and’ to Article IV Section 1. The new wording would read as follows:
For the purposes of these By-Laws, the Glenwood Hills Neighborhood shall consist of units 1, 2, 3, 4, and 6 of the Glenwood Hills Subdivision, the Glenwood Hills North Subdivision, and the Tierra Amada Townhouses. Membership in the GHNA shall be open to owners of property in the Glenwood Hills Neighborhood and individuals residing on property in the Glenwood Hills Neighborhood. Membership is also open to residences and businesses located on property that is adjacent to the Glenwood Hills Neighborhood. Each single piece of property or single business shall have no more than one membership in the GHNA.
Article III, Section 4 is not word for word consistent with the proposed changes that were approved in Aug. 2006. Proposed Amendment (Aug. 2006): The absence of any member of the Executive Committee from three (3) consecutive duly called Committee meetings shall be deemed equivalent to resigning from the Committee. A vacancy on the Executive Committee may be filled from the general membership of the GHNA by the Executive Committee to serve the remainder of the unexpired term.
Current wording: The unexcused absence of any member of the Executive Committee from three (3) consecutive duly called Committee meetings shall be deemed equivalent to resigning from the Committee and will be so accepted. A vacancy on the Executive Committee may be filled from the general membership of the GHNA by the Executive Committee to serve the remainder of the unexpired term.

The board agreed that the bylaws need to be updated to the language that was passed in Aug. 2006.

Term expires in Aug. 2009: Dee Acree, Dave Bentley, Carole Rising
Term expires in Aug. 2010: Roger Abbott, Roger Cook, Woody Owens

The filing is in process but will take another month of two to complete.
New Business/Opens:
Annual membership meeting and picnic: We have now set the date for Aug. 10 starting at 3pm at
Nominations for new board members: Jack put signs up at all entrances to the neighborhood notifying residents to submit nominees. So far he has not received any nominees. It looks like the existing 3 board members will all agree to run for another term. The issue of how many days before the annual meeting the nominees names need to be published. The by-laws only require 10 days but a separate motion had previously been passed to require 30 days.
A motion was made and passed to use the 10 day limit for nominee publication as required by the by-laws.
By-law changes:
A motion was made and passed to submit a by-laws change at the annual meeting to add the Website Committee and the Block Captain Committee as new standing committees to Article VII Section 2 of the by-laws. The new wording would be as follows:
The standing committees shall be Membership, Neighborhood Patrol, Website, Block Captain and Hospitality.
Letter to the residents:
We now plan to send one letter to all residents that will include the following:
· Announcement of the new website and request to sign-up for email communication
· Announcement of the annual meeting and associated details
· Announcement of the nominees for open board positions to be voted on at the annual meeting

Apparently there is some attempt being made to subdivide this lot into two lots in order to build two residences on the lot instead of one. Our covenants clearly state that this is not allowed.
